These Terms of Service ("Terms") govern your access to and use of the Talim mobile applications, website (talimk12.com), administrator dashboard (dash.talimk12.com), and account portal (app.talimk12.com), together with any related services we provide (collectively, the "Service"). The Service is provided by Talim K12, Inc. ("Talim," "we," "us," or "our").
1. Acceptance
By creating an account or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a school, district, or other organization, you represent that you have authority to bind that organization to these Terms.
2. Description of service
Talim provides a platform for educators to log, organize, and report on their professional development activities. School and district administrators may use the Service to view aggregate professional development data for teachers who have explicitly connected their accounts to the school. The Service is provided "as is," and we may modify, suspend, or discontinue any part of it at any time, with reasonable notice where practical.
3. Account registration
To use the Service you must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us promptly at hello@talimk12.com if you suspect unauthorized access.
The Service is for adults age 18 and older. By creating an account you represent that you are at least 18 years old.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Upload, log, or share content that is fraudulent, defamatory, obscene, or that infringes the intellectual property or privacy rights of others.
- Attempt to gain unauthorized access to any account, system, or data, or to interfere with or disrupt the Service.
- Use automated means (scrapers, bots) to access the Service except as expressly permitted.
- Reverse-engineer, decompile, or attempt to extract source code from the Service, except where such restriction is prohibited by law.
- Resell, sublicense, or redistribute the Service without our written permission.
We may suspend or terminate accounts that violate these terms.
5. Data ownership
You own the professional development record you create in Talim. The data you log — activities, hours, certificates, notes — is yours, and you retain all rights to it. You can export it, share it, or delete it at any time.
You grant Talim a limited, non-exclusive license to host, store, and process your data solely as needed to operate the Service for you. We do not use your individual data for any purpose beyond providing the Service to you and to those you have explicitly authorized (such as a school where you have submitted activities for approval).
6. School and district accounts
Schools and districts may purchase a subscription that gives designated administrators access to a dashboard showing aggregate professional development activity for teachers who have explicitly connected their accounts to the school.
Connection between a teacher account and a school is always opt-in by the teacher. A teacher may disconnect from a school at any time. When a teacher disconnects, the school retains the aggregate, time-bounded snapshot of activities the teacher chose to share while connected; the teacher retains the full underlying record.
Schools and districts agree that they will not use Talim to demand, surveil, or pressure individual teachers in ways inconsistent with the principle that the record belongs to the teacher.
7. Subscription and billing
Pricing, billing terms, and renewal terms for the Service are set out in the order form, in-app subscription page, or other service agreement applicable to your account at the time of purchase. Pricing for individual users, schools, and districts is available on request at hello@talimk12.com.
8. Intellectual property
The Service, including all software, design, text, graphics, logos, and the "Talim" name, wordmark, and desk-mark logo, is the property of Talim K12, Inc. and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure. Talim is a record-keeping tool and is not a substitute for the official systems your state, district, or licensure body uses for credentialing or compliance.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TALIM K12, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.
11. Indemnification
You agree to indemnify and hold harmless Talim K12, Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
You may stop using the Service and delete your account at any time at app.talimk12.com. We recommend exporting your data first. We may suspend or terminate your access if you violate these Terms or if your continued use of the Service creates a legal or operational risk for us. Sections that by their nature should survive termination — including data ownership, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
13. Governing law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in North Carolina, and you and we consent to the personal jurisdiction of those courts.
14. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will notify you by email or through an in-app notice before the changes take effect. Your continued use of the Service after a change indicates your acceptance of the updated Terms.
